Membership Agreement
Membership Fees
The Membership Fee (“Fee”) is paid monthly in advance by the Member to The Cluster for the Member Services. Where the Member utilizes additional services not included in the Member Services, additional charges are billed in arrears. The Cluster at its absolute discretion reserves the right to change, or vary the charges for any services provided to the Member giving one month’s notice in writing of such change.
Security Deposit
The Cluster requires a security deposit equal to one month of Fees (Exc GST) from the Member upon commencement. The Member therefore, must pay a security deposit equal to one months membership on agreeing to this Agreement.
Billing
Payments can be made via credit card or by direct debit. The member agrees to authorize The Cluster to charge for Membership Services rendered to the Member.
Telephony
There is a $20 disconnection fee per phone number, for any telephony services.
Termination of Agreement by Notice
One month written notice is required by either party to terminate this Agreement.
Termination of Agreement without Notice
The Cluster reserves the right to terminate this Agreement without Notice in the event that:
* Its staff is being harassed in any way by the Member, the Member’s staff or anyone associated with or attempting to contact the Member.
* Should The Cluster have reason to suspect immoral, unethical, illegal or fraudulent business practice.
* The Member is in breach of this Agreement.
* The Member fails to pay any amounts due to The Cluster.
Effect of Termination
Upon any termination event, the Member will immediately pay The Cluster all outstanding amounts owed to The Cluster by the Member. The Cluster will have no further obligation to provide any services to the Member.
Indemnity
The Member agrees to fully indemnify The Cluster, and its directors and employees from any loss, damage or liability whatsoever arising from this Agreement or the actions of the Member or its representatives.
Guarantor
In consideration of The Cluster entering into this Agreement with the Member, the Guarantor, for themselves and each of their executors and administrators unconditionally agree that they and each of them will be with the Member jointly and severally liable to The Cluster for the payment of the Fees and all other monies payable by the Member and also for the due performance of all the terms and conditions on the part of the Member contained or implied in this document.
Dress Code
The Member shall at all times whilst utilizing The Cluster’s offices dress in a manner that a reasonable person would consider professional and suitable for a business environment.
Referrals
The Cluster shall pay the Member $100 for each successful referral to The Cluster for Virtual Office membership.
Tax
All prices quoted are exclusive of government taxes where applicable and allowable by law.
